CONTACT VENTURES

THE TERMS

How the split
is decided.

PLAIN ENGLISH. NOTHING TRANSFERS UNTIL DOCUMENTS ARE SIGNED. THE SIGNED DOCUMENTS GOVERN.

01

What Contact Ventures does

We collect what failed and abandoned ventures leave behind and combine it into new companies. Stock, kit, vehicles, audiences, names, contracts, ideas, information, skills. Individually these are dead weight. Combined, they are a business. Everyone who contributes holds equity in what gets built.

02

What counts as a contribution

Anything a venture can use. Physical stock and equipment. Vehicles and space. Digital assets, accounts and audiences. Names, marks and brands. Old ideas, research and information. Files, designs and half finished work. Your time, your skills and your contacts.

It does not matter whether your business was live, dormant, dissolved or never started. An idea that never left a notebook is a valid submission.

03

How the equity split is decided

We decide the equity split. Two things drive it: how valuable your contribution is, and what it is being combined with.

Value is not a sticker price. A van is worth more to a venture that needs wheels than to one that needs a kitchen. An email list is worth more next to a product that is ready to sell. An idea is worth more with a team that can build it. The same contribution can earn a different share in different combinations, and we say so openly.

When we propose a venture you see the whole picture: what you put in, what every other contributor puts in, what we add ourselves, the valuation we place on each piece, and the split that follows from it. We take our own stake for sourcing, assembly, structure and operation, valued on the same basis we apply to everyone else.

04

You agree, or you walk

Submitting transfers nothing. Talking to us transfers nothing. Your assets, your ideas and your files stay yours until incorporation and transfer documents are signed.

If you do not like the proposed split, you decline and keep everything. Nothing owed in either direction.

05

The process

You submit. We review and come back within five working days. If there is a fit, we propose the venture: the combination, the valuation of every contribution, and the split. Everyone agrees in writing. We incorporate the company, the equity is issued, and the venture goes to work.

06

Ideas and information

Ideas and information are real contributions and we treat them that way. We store submissions solely to assess venture fit and we do not share them with third parties.

Be sensible with what you send. Only send files and information that are yours to send, and nothing you are bound to keep confidential for someone else. A raw idea with no protectable rights is valued by what it unlocks in a specific combination, not as property on its own.

07

The legal position

This page is a plain English summary, not a contract. The definitive terms for any venture are the incorporation, shareholder and asset transfer documents that each contributor signs. Any agreement arising from a submission is governed by the laws of England and Wales. We may update this page. The documents you sign are what govern.
